“Agreement” means the terms and conditions set out herein.

“Member” means a person who has subscribed to seo-simple.co.uk ("SeO Simple" or "we") Services and who, having paid the appropriate fee, has received a Member password from SeO Simple. 

“User” means either a Site Member or a Site Administrator

“Visitor” means a person browsing the SeO Simple website who has yet to register as a Site Member.

“SeO Simple Services” means the services provided by SeO Simple under the terms of this agreement.

This Agreement sets forth the legally binding terms for your use of the SeO Simple Services. By using the SeO Simple Services, you agree to be bound by this Agreement, whether you are a Visitor or you are a User. You are only authorised to use the SeO Simple Services (regardless of whether your access or use is intended) if you agree to abide by all applicable laws and to this Agreement. Please read this Agreement carefully and save it. If you do not agree with it, you should leave the SeO Simple website and discontinue use of the SeO Simple Services immediately. If you wish to become a User and make use of the SeO Simple Services, you must read this Agreement and indicate your acceptance during the registration process.

SeO Simple operates as a subsiderary service within DorwardMedia Ltd, a UK registered company (company reg no: 6257901; VAT reg no: 911 4075 58). All prices quoted are exclusive of UK VAT which will be added to any final invoices.

All work will remain the sole property of DorwardMedia Ltd until full and final payment is received. DorwardMedia Ltd reserves the right to remove all material from the Internet if there are any disputes over payment.

This Agreement includes SeO Simple’s policy for acceptable use of the SeO Simple Services on the SeO Simple website, your rights, obligations and restrictions regarding your use of the SeO Simple Services and SeO Simple’s privacy policy. You may receive a copy of this Agreement by emailing us at: help@seo-simple.co.uk, Subject: Terms of Use Agreement.

SeO Simple may modify this Agreement from time to time and such modification shall be effective upon posting by SeO Simple on the SeO Simple website. You agree to be bound to any changes to this Agreement when you use the SeO Simple Services after any such modification is posted. It is therefore important that you review this Agreement regularly to ensure you are updated as to any changes.

SeO Simple reserves the right, in its sole discretion, to reject, refuse to post or remove any posting (including private messages) by you, or to restrict, suspend, or terminate your access to all or any part of the SeO Simple Services at any time, for any or no reason, with or without prior notice, and without liability. SeO Simple expressly reserves the right to remove your information and/or restrict, suspend, or terminate your access to any part of SeO Simple Services if SeO Simple determines, in its sole discretion, that you pose a threat to SeO Simple and/or its Users.

Eligibility. Use of the SeO Simple Services is void where prohibited. By using the SeO Simple Services, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 18 years of age or older; and (d) your use of the SeO Simple Services does not violate any applicable law or regulation. Your use of the service may be terminated without warning, if we believe that you are under 18 years of age.

Term. This Agreement shall remain in full force and effect while you use the SeO Simple Services. You may terminate your use at any time, for any reason, by emailing help@seo-simple.co.uk, subject: Termination of account. SeO Simple may terminate your use at any time, without warning. Even after use is terminated, this Agreement will remain in effect in respect of accrued rights and obligations.

Fees. You acknowledge that SeO Simple reserves the right to charge for the SeO Simple Services and to change its fees from time to time in its discretion. If SeO Simple terminates your use because you have breached the Agreement, you shall not be entitled to the refund of any unused portion of your fees.

Password. When you apply to become a User, you will be assigned a Site Member password and also a Site Member password. You agree not to use the account, username, or password of another User at any time or to disclose your password to any third party. You agree to notify SeO Simple immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

Non-commercial use by Users. The SeO Simple Services are for the personal use of Users only and may not be used in connection with any commercial endeavours except those that are specifically endorsed or approved by SeO Simple. Illegal and/or unauthorized use of the SeO Simple Services, including collecting usernames and/or email addresses of Users by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the SeO Simple Website is prohibited. Appropriate legal action will be taken for any illegal or unauthorized use of the SeO Simple Services. You are expressly forbidden to resell the SeO Simple services without written approval from SeO Simple. User accounts will be terminated and appropriate legal action will be taken against any breach of this.  

Privacy. Use of the SeO Simple Services is also governed by our Privacy Policy, which is incorporated into this Agreement by this reference.

Disclaimers. SeO Simple is not responsible for any incorrect or inaccurate Content posted on the SeO Simple Website or in connection with the SeO Simple Services, whether caused by Users of the SeO Simple Services or by any of the equipment or programming associated with or utilized in the SeO Simple Services.

Inclusion of any linked website on the SeO Simple Services does not imply approval or endorsement of the linked website by SeO Simple. When you access these third-party sites, you do so at your own risk. SeO Simple takes no responsibility for third party advertisements which are posted on this SeO Simple Website or through the SeO Simple Services, nor does it take any responsibility for the goods or services provided by its advertisers. SeO Simple is not responsible for the conduct, whether online or offline, of any User of the SeO Simple Services. SeO Simple assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any User or User communication. SeO Simple is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email or players due to technical problems or traffic congestion on the Internet or on any of the SeO Simple Services or combination thereof, including any injury or damage to Users or to any person's computer related to or resulting from participation or downloading materials in connection with the SeO Simple Services. Under no circumstances shall SeO Simple be responsible for any loss or damage resulting from use of the SeO Simple Services, from any Content posted on or through the SeO Simple Services, or from the conduct of any Users of the SeO Simple Services, whether online or offline.

SeO Simple does not make any guarantee to a page rank awarded to a client's webiste by any of the Search Engines that we submit to. Whilst we offer unrivalled dedicated support to your SeO project, the rank and page number will be calculated by the Search Engine companies only.

Limitation on Liability. IN NO EVENT SHALL SEO SIMPLE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF SEO SIMPLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, SEO SIMPLE'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE GREATER OF THE AMOUNT PAID, IF ANY, BY YOU TO SEO SIMPLE FOR THE SEO SIMPLE SERVICES DURING THE TERM OF USER AND THE AMOUNT OF INSURANCE HELD BY SEO SIMPLE FOR SUCH LIABILITY.

Disputes. The Terms of this Agreement shall be subject to English law and to the exclusive jurisdiction of the courts of England and Wales.

Indemnity. You agree to indemnify and keep indemnified SeO Simple from any loss, liability, claim, or demand, including legal fees, made by any third party due to or arising out of your use of the SeO Simple Services in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above and/or if any Content that you post on the SeO Simple Website or through the SeO Simple Services causes SeO Simple to be liable to another.

Privacy Statement

SeO Simple ("We") takes your privacy very seriously. Please read this Policy carefully to see how We will treat the personal information that you provide to us when using our website (the "Site"). We will take reasonable care to keep your personal information secure and to prevent any unauthorised access or unlawful use of it. We process all information in accordance with the applicable UK data protection legislation. We may change this Privacy Policy from time to time and the change will take effect once the revised Privacy Policy is available on our homepage.
